**Terms of Service — Summa Opulentia**

**THESE TERMS INCLUDE LIMITATIONS ON OUR LIABILITY AND EXPLAIN HOW DISPUTES BETWEEN US ARE HANDLED. PLEASE READ THEM CAREFULLY.**

Summa Opulentia ("Summa Opulentia", "we", "us", or "our") operates an online marketplace for the sale of luxury resale goods. These Terms of Service ("Terms") govern your access to and use, as an end user ("you" or "your"), of our website at https://summaopulentia.com/, any related site that links to these Terms, and any associated apps, features, or online services we operate (together, the "Service").

By creating an account, accessing, or using the Service, you confirm that you've read, understood, and agree to be bound by these Terms, and that you have the legal capacity to do so (whether for yourself or an organisation you represent). If you do not agree, you must not access or use the Service.

These Terms incorporate our Privacy Policy (available at https://summaopulentia.com/policies/privacy-policy). Sellers and consignors are additionally subject to our separate Consignment & Sales Agreement (available at https://summaopulentia.com/pages/consignor-terms) (together with the Privacy Policy, the "Additional Terms").

**Eligibility**

To use the Service, you must be at least 18 years old. Anyone under 18 may not access or use the Service. You may hold only one active account, and you may not sell, trade, or transfer your account to anyone else. You may not use the Service if your account has previously been suspended or removed by us for any reason.

**Privacy**

By using the Service, you acknowledge and accept our Privacy Policy, which explains how we collect, use, and share your information.

**Content Licence; Ownership**

*Content.* The Service includes a range of materials relating to us and our products, including digital content, listings, descriptions, images, and the overall compilation and arrangement of the Service (together with our trademarks, logos, and other intellectual property, "Content").

*Limited Licence.* We grant you a limited, non-exclusive, revocable, non-transferable licence to view and use the Content on supported devices for personal or internal business use, solely through the Service, for as long as you comply with these Terms.

*Ownership.* All rights, title, and interest in the Service belong to us, our licensors, or relevant third parties, and are protected by UK and international intellectual property law. Except as expressly stated here, all rights are reserved.

**Your Account**

*Account Security.* To use certain parts of the Service, you may need to create an account, either for yourself or on behalf of an organisation. You confirm that all information you provide is accurate, current, and complete, and you'll update it promptly if it changes. We may suspend or terminate your account if information you provide is false, outdated, or violates these Terms, our Privacy Policy, or applicable law.

You are responsible for keeping your login details confidential and for all activity under your account, whether or not you authorised it. Notify us immediately of any unauthorised use or security breach. We are not liable for any loss arising from your failure to safeguard your account.

*Account Authorisation.* If you register on behalf of an organisation, "you" refers to both you personally and that organisation, and you confirm you have authority to bind that organisation to these Terms.

**User Content**

We may allow you to post reviews, images, listings, questions, or other material ("Postings"). We're under no obligation to monitor Postings and take no responsibility for them, though we may remove any Posting at any time, for any reason.

If you provide feedback, reviews, or quotes in connection with a purchase or sale, you allow us to use them for marketing purposes, potentially alongside your first name and general location. We may lightly edit such quotes for clarity without changing their meaning, and you can ask us to remove them at any time.

You're responsible for anything you post, and you confirm it isn't unlawful, infringing, misleading, defamatory, harassing, or otherwise inappropriate, doesn't contain viruses or malicious code, doesn't misrepresent your views or identity, and doesn't include sensitive personal or payment information you haven't been asked to provide.

By posting content, you grant us a broad, royalty-free, worldwide licence to use, reproduce, adapt, and display that content for any lawful purpose connected with operating and promoting the Service, and, to the extent permitted by law, you waive related moral rights. You also grant us permission to use your name and likeness where you appear in connection with a Posting. Because Postings may be visible to other users, you understand they won't be treated as confidential.

**Prohibited Conduct**

You agree not to: resell, sublicense, or redistribute the Service or its Content; remove proprietary notices; scrape, data-mine, or use bots against the Service; use another user's account without permission; interfere with or overburden the Service; reverse-engineer any part of the Service; bypass access restrictions or security measures; or use the Service in a way that breaches applicable law.

**Authentication and Brands**

Our authentication process is carried out independently, in-house. Brands referenced on the Service are not involved in authenticating items and bear no responsibility for goods purchased through us, nor are they our partners. We cooperate with brands and law enforcement investigating counterfeit or stolen goods, which may include disclosing a seller's contact details where required by law or court order.

**Disclaimer of Warranties**

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including as to merchantability, fitness for a particular purpose, or accuracy. We don't guarantee the Service will be error-free, uninterrupted, or free of harmful components, and third-party materials accessible through the Service are provided without any warranty from us.

Nothing in this section limits any statutory rights you have as a consumer under UK law, including the Consumer Rights Act 2015, which cannot be excluded.

**Limitation of Liability**

To the fullest extent permitted by law, we won't be liable for any indirect, incidental, special, or consequential losses, including loss of profits, goodwill, or data, arising from your use of the Service.

Except where prohibited by law, our total liability for any claim relating to these Terms or the Service is limited to the greater of £750, or the amount we've actually received from selling your property through the Service in the twelve months before the claim arose.

Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot lawfully be excluded or limited under English law.

**Indemnity**

To the extent permitted by law, you agree to indemnify us and our officers, employees, and agents against claims, losses, and reasonable costs arising from your misuse of the Service, your breach of these Terms, your Postings, or any unlawful or fraudulent conduct on your part. We may take over the defence of any such claim, and you'll cooperate with us in doing so.

**Force Majeure**

We won't be liable for delays or failures in performance caused by events beyond our reasonable control, including severe weather, war, civil unrest, pandemics, or labour disputes. If such an event prevents us from shipping a purchased item, we'll offer you the choice of a delayed shipment or a refund, in line with our then-current policies.

**Resolving Disputes**

If a disagreement arises between us, please contact us first at studio@summaopulentia.com so we can try to resolve it informally and in good faith. We'll aim to work through any concern together before either party takes further action.

If a dispute can't be resolved this way, it will be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any mandatory consumer protections that entitle you to bring proceedings in your own local courts. Nothing here removes your right, as a UK consumer, to use the Financial Ombudsman Service, Citizens Advice, or other statutory dispute resolution routes where applicable, nor does it require you to give up your right to court proceedings.

**Governing Law**

These Terms are governed by the laws of England and Wales. Where you are a consumer resident elsewhere in the UK or EU, any mandatory local consumer-protection laws that offer you greater protection will continue to apply.

**Electronic Communications**

By providing your email address or phone number, or by communicating with us electronically, you consent to receiving communications from us electronically, including order updates, account notices, and (where you've opted in) marketing messages.

You can opt out of marketing communications at any time by following the unsubscribe instructions in any message, adjusting your account preferences, or contacting us at studio@summaopulentia.com. Opting out of marketing does not affect essential order or account-related communications.

**Payment and Billing**

To complete a purchase, you may need to provide payment details, billing address, and shipping information. Payments may be processed through third-party payment providers, whose own terms will also apply to your transaction. By providing payment details, you confirm you're authorised to use that payment method and you authorise us (or our payment processor) to charge the full order amount, including applicable taxes and fees. If a payment cannot be verified or is declined, we may suspend or cancel the related order.

**Third-Party Materials and Linked Sites**

The Service may link to or display material from third parties. Your use of any such third-party content or sites is subject to their own terms and policies, and we provide these links purely for convenience.

**Changes to These Terms**

We may update these Terms from time to time. Any changes will be posted on this page and take effect immediately upon posting, or as otherwise notified to you. Continuing to use the Service after changes take effect means you accept the updated Terms.

**Intellectual Property Complaints**

We respect intellectual property rights and expect users to do the same. If you believe content on the Service infringes your copyright or other IP rights, please send a written notice to studio@summaopulentia.com including: a description of the protected work, the location of the allegedly infringing material on our Service, your contact details, and a statement that you have a good-faith belief the use is unauthorised. We'll review valid notices and may remove or restrict access to the material in question. Anyone who believes their content was removed in error may contact us to request a review.

**Suspension or Termination**

We may suspend, limit, or terminate your access to the Service at any time, without notice, if we reasonably believe you've breached these Terms or engaged in abusive conduct, including abuse of our resale assistance or authenticity guarantee programmes.

**Returns**

As set out in our Refund Policy, all sales are final and we do not generally offer refunds, returns, or exchanges outside the resale assistance and authenticity guarantee programmes described there. In rare cases, we may make discretionary exceptions, which do not create any ongoing entitlement to future exceptions.

**Notices**

All formal notices under these Terms should be sent in writing to [insert business address] or by email to studio@summaopulentia.com. Please keep your contact details up to date, as we'll rely on the information you've given us.

**General**

If any part of these Terms is found unenforceable, the rest will remain in full effect. Headings are for convenience only. Our failure to enforce a provision isn't a waiver of it. These Terms, together with our Privacy Policy and any Additional Terms, form the entire agreement between us regarding the Service. Nothing here creates a partnership, employment, or agency relationship between us. You may not transfer your rights or obligations under these Terms without our written consent.

**VAT**

Prices displayed may be subject to VAT or other applicable taxes, shown at checkout. It's your responsibility to review the final tax amount before completing your order.

**Packaging and Shipping**

Shipping costs are set out in our Shipping Policy. We arrange packing, insurance, and dispatch for items sold through the Service, but where you instruct a specific courier or method, that choice is at your own risk, and we're not responsible for the acts or omissions of third-party carriers.
